Boosted Ecommerce, Inc., a Delaware corporation, with offices located at 9903 Santa Monica Blvd, Ste 605, Beverly Hills, and or its subsidiaries or affiliates (together, “Boosted”) is looking forward to your participation in the Asterwood Beauty Affiliate Program.

1. Term & Exclusivity
   This agreement is effective from the date you join our affiliate program and will continue indefinitely unless terminated by either party. During this time, you agree that the content you create and publish under this agreement will not feature or promote any direct competitors in the same product category as Asterwood Beauty.
2. Commission & Product
   As an affiliate, you will be entitled to a commission rate on all sales generated through your affiliate link and/or unique promo code, as agreed upon in your sign-up process. In addition, Asterwood Beauty will provide free products for you to use in content creation. These products are provided in exchange for promotional content that aligns with Asterwood Beauty's brand guidelines and goals.
3. Content Ownership & Usage Rights
   By participating in the affiliate program and creating promotional content, you grant Asterwood Beauty full and unrestricted usage rights to all the content you produce as part of the program. This includes both paid and organic use across all media platforms. Asterwood Beauty retains the right to use, modify, distribute, and repurpose the content without further approval from you.
4. Content Guidelines
   Content created as part of the program should be original and adhere to the following guidelines:

• Promote only factual, accurate statements about Asterwood Beauty's products.
• Comply with Federal Trade Commission (FTC) disclosure rules, clearly stating your affiliation with Asterwood Beauty (e.g., “#ad” or “sponsored”).
• Avoid using third-party intellectual property (e.g., music, logos, images) unless you have obtained proper rights.
• Follow all applicable legal requirements, including local advertising laws and TikTok Shop’s terms.

Content Monitoring & Approval

Asterwood Beauty reserves the right to monitor the content you create and may request revisions to ensure compliance with the guidelines outlined in this agreement. If any content fails to meet the standards, Asterwood Beauty may withhold commission payments until the content is revised.

By participating in Asterwood Beauty's affiliate program, you acknowledge and agree to these terms and conditions. Thank you for partnering with us, and we look forward to growing together!

Confidentiality

Throughout your time as an affiliate, you may gain access to confidential information regarding Asterwood Beauty's products, marketing strategies, or other proprietary data. You agree to keep this information confidential and not disclose it to any third parties without ’s written consent. This confidentiality obligation remains in effect for 3 years after the termination of this agreement.

Termination

Either party may terminate this agreement at any time. Upon termination, you will no longer have the right to promote Asterwood Beauty's products or receive free products. Asterwood Beauty may also terminate the agreement immediately if you engage in any conduct that could harm Asterwood Beauty's reputation, violate the terms of this agreement, or breach legal obligations.Independent Contractor Status

You acknowledge that your role as an affiliate is that of an independent contractor. Nothing in this agreement creates an employer-employee relationship, agency relationship, or partnership between you and Asterwood Beauty. You do not have authority to bind Asterwood Beauty or make decisions on behalf of the company without prior written consent.

Governing Law

This agreement is governed by the laws of the State of California. Any disputes arising from this agreement will be handled exclusively in the courts located in California.
